Continuing Guaranty Statement - Cashmere Products

The undersigned __________________________________ hereby guarantees that all textile fiber, wool and fur products now being sold or which may hereafter be sold or delivered to The Neiman Marcus Group, Inc. or its divisions and subsidiaries (including without limitation Neiman Marcus Stores, Neiman Marcus Direct, and Bergdorf Goodman, Inc., CUSP, etc.) are not, and will not be, mislabeled or falsely or deceptively advertised or invoiced under the provisions of the Textile Fiber Products Identification Act, the Wool Products Labeling Act and/or the Fur Products Labeling Act, or any rules and regulations thereunder.

The undersigned further agrees (i) to indemnify The Neiman Marcus Group, Inc. and its divisions and subsidiaries from all claims, liabilities and expenses of any nature whatsoever (including reasonable attorneys fees) incurred by it in the event the textile fiber, wool and/or fur products sold or delivered under this guaranty are found not to comply with the laws indicated in the immediately preceding paragraph, and (ii) that the venue for any disputes arising from this guaranty shall be exclusively in a court of competent jurisdiction sitting in Dallas, Texas.

This guaranty shall remain effective until revoked in writing by either party.
